These General Terms and Conditions (hereinafter “GTC”) of Umai International GmbH, with registered office in Meggen (LU) (hereinafter “Seller”), apply to all contracts for the delivery of goods concluded between the Seller and its customers.
Customers include both businesses and private individuals (hereinafter collectively “Customer”).
The provisions of the Swiss Code of Obligations (OR) governing sales contracts and other applicable Swiss laws and ordinances shall apply.
Any deviating or supplementary terms of the Customer shall only apply if expressly confirmed in writing by the Seller.
Price lists, brochures, catalogues and publications on the website or on the internet are non-binding and do not constitute a legally binding offer.
The Seller expressly reserves the right to errors, printing errors and technical changes.
Orders may be placed by telephone, e-mail or in writing. By placing an order, the Customer submits a binding offer to conclude a contract. The contract is only concluded upon the Seller’s order confirmation or delivery of the goods.
The Customer is obliged to provide complete and correct information when placing the order. If the delivery address differs from the billing address, this must be expressly stated.
3.1 Prices
Prices for wholesalers, resellers and hospitality businesses are quoted exclusive of statutory value added tax.
Prices for private customers are quoted inclusive of statutory value added tax.
All prices are per kilogram in the specified currency, unless expressly agreed otherwise.
3.2 Payment Period
Unless otherwise agreed in writing, invoices are due for payment net within 20 days from the invoice date without deduction. Invoicing is generally made by e-mail.
Unauthorized cash discounts or other deductions are not permitted and will be reclaimed.
3.3 Cash Discount for Advance Payment
At its discretion, the Seller may grant a cash discount of up to 2% on the value of the goods for advance payment prior to or upon placing the order.
There is no entitlement to a cash discount unless expressly confirmed by the Seller.
3.4 Late Payment
If the Customer is in default of payment, the Seller is entitled to:
charge an administration fee of CHF 15.– per reminder from the second reminder onward;
charge default interest of 5% per annum pursuant to Art. 104 OR, calculated from the due date;
declare all outstanding claims immediately due;
demand security for outstanding claims;
carry out further deliveries, in whole or in part, only against advance payment.
The right to claim further damages remains expressly reserved.
If the goods are available, dispatch shall take place no later than two working days after receipt of the order.
Shipping costs are based on the current rates of Swiss Post AG or the commissioned logistics provider.
Additional costs, in particular due to refused or incorrectly addressed shipments, shall be borne by the Customer.
The Customer shall inspect the delivered goods immediately upon receipt and notify any defects in writing without delay.
In the event of proven defects, the Seller shall, at its discretion, provide repair or replacement delivery within a reasonable period. If this is not possible, the Customer shall have the right to withdraw from the contract (rescission) or to reduce the purchase price.
Warranty claims are excluded for defects not attributable to the Seller, in particular due to:
natural wear and tear;
improper handling or storage;
interventions by the Customer or third parties;
force majeure or exceptional environmental influences.
In the event of resale of the products, the Customer is responsible for compliance with all domestic and foreign regulations. Any alterations to the products shall be made at the Customer’s own risk. The provisions of the Swiss Product Liability Act remain reserved.
The contracting parties undertake to inform each other without delay of any circumstances that could jeopardize or impede contractual performance.
Returns of delivered goods are generally excluded, unless there is a proven defect or unless expressly agreed otherwise in writing.
The Seller processes the Customer’s personal data exclusively in accordance with applicable data protection laws, in particular the revised Swiss Federal Act on Data Protection (revDSG).

Swiss law shall apply exclusively.
The place of jurisdiction shall be — to the extent permitted by law — the registered office of the Seller in Meggen (LU). For consumers, the mandatory statutory places of jurisdiction shall apply.
Should any provision of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
By placing an order for goods, the Customer accepts these GTC. Amendments or additions to these GTC may only be made by the Seller and require written form.
Language Clause
These GTC are available in German and English. In case of discrepancies between the German and English versions, the German version shall prevail.
